Affiliate Terms and Conditions
This is an Affiliate Agreement between Absolute Manager Limited, (hereinafter referred to its website mycvspace.com and other mycvspace sites pointing to mycvspace.com) and you. By becoming a Mycvspace Affiliate and linking to our website mycvspace you accept the following terms and conditions:
1. Outline of Agreement
1.1 Mycvspace provides CV creation, recruitment and associated services via the internet through www.mycvspace and other web sites and other channels.
1.2 You agree to promote and link to the Mycvspace homepage using the links and linking codes provided by Mycvspace.
1.3 You acknowledge that Mycvspace makes no representations concerning the volume of sales that will be generated through the Mycvspace web site.
2. Contract Period
This Agreement continues until terminated by either party giving written notice.
3. Branding and Linking
3.1 You agree not to register any web site address similarly spelt or deliberately mis-spelt to "Mycvspace".
3.2 You agree to use the suggested text and graphic links supplied by Mycvspace.
3.3 Mycvspace will supply you with your individual linking codes to identify and assign sales generated by your site.
4. Loss or Deterioration of Service
In the event of system failure, loss of access or deterioration in service the defaulting party shall take all reasonable steps to restore or rectify the service. The non-defaulting party shall not be entitled to any form of compensation.
5. Commission Payments
5.1 Mycvspace shall pay commission ("Lead Commission") upon all products purchased through the Mycvspace Lead where the customer comes from your web site to Mycvspace in any single user session ("Qualifying Transaction"). Such Lead Commission payments shall be based upon the value of the lead sold net of VAT and associated charges or deductions and credit card clearing payments made by Mycvspace. See website page headed Affiliate Program for details of payment.
5.2 Mycvspace will not pay Lead Commission on purchases made by you, whether these purchases are for your personal or business use.
6. Sales Reports
Within the period of seven working days after the end of each calendar month, Mycvspace shall email to you a report containing: all Qualifying Transactions entered into during such month; and the amount of Commission payable in respect of such month.
7. Commission
7.1 Mycvspace will pay Commission owed on all Qualifying Transactions, (including VAT, if applicable, on presentation of a valid VAT invoice) within the period of 30 days after Mycvspace receives payment.
7.2 If the level of Commission owed in any month is less than £50 Mycvspace will carry forward payment until the level of Commission owed equals or exceeds £50, or (if before) until this Agreement is terminated.
7.3 In the event that any Qualifying Transaction is charged-back to Mycvspace, Mycvspace will deduct the associated Commission payable to you, either during the same month that the chargeback is made or from the amount of any subsequent month. Mycvspace shall also inform you of this chargeback and the reason for it.
8. Security and Chargeback’s
If the number of chargeback’s exceeds a reasonable level as against the actual total number of Qualifying Transactions originating through your web site, (whether caused by customer mistake or by fraud) Mycvspace reserves the right to terminate this Agreement immediately on written notice.
9. Intellectual Property Rights
9.1 Mycvspace grants to you for the term of this Agreement a non-exclusive, revocable, royalty-free licence to use its name, logos, trade marks or devices ("Intellectual Property") subject to the restrictions in Clause 3 above.
9.2 You shall not make any claim to Mycvspace content or services during or after the expiry of this Agreement.
9.3 You shall not make any claim to Mycvspace trademarks or register or cause to be registered or apply for a materially similar trademark or imitation of a trademark during or after the expiry of this Agreement.
9.4 You shall not register or cause to be registered any company name which is materially similar to that of Mycvspace.
9.5 On the expiry of this Agreement you agree to immediately cease use of such Intellectual Property.
10. Limitation of Liability
Mycvspace shall not be liable to you under this Agreement for any indirect, special or consequential damages or any loss of profits, revenue, data or information. Mycvspace's aggregate liability under this Agreement shall not exceed the total Lead Commission owed to you at the time of the act or omission.
11. Your Website
You are solely responsible for development, implementation, operation and maintenance of your web site, including the content of your web site. You will indemnify Mycvspace with regard to all claims, damages and expenses, (including legal fees) regarding the development, implementation, operation and maintenance of your web site, including the content of your web site.
12. Assignment
You may not assign or otherwise transfer this Agreement or any rights, duties and obligations hereunder without the prior written consent of Mycvspace.
13. Joint Venture or Partnership
Nothing in this Agreement shall be construed as creating a partnership, joint venture or an agency relationship between the parties.
14. General
14.1 Failure by Mycvspace to enforce any accrued rights under this Agreement is not to be taken as or deemed to be a waiver of those rights unless Mycvspace acknowledges the waiver in writing.
14.2 It is hereby declared that the foregoing paragraphs, sub-paragraphs and clauses of this Agreement shall be read and construed independently of each other. Should any part of this Agreement or its paragraphs, sub-paragraphs or clauses be found invalid it shall not affect the remaining paragraphs, sub-paragraphs and clauses.
14.3 Mycvspace reserves the right to alter the terms of this Agreement at any time and will post the amended agreement on the Mycvspace web site. Continued participation in the Mycvspace affiliate program after any such change indicates your acceptance of the change.
15. Jurisdiction
This Agreement shall be interpreted, construed and enforced in accordance with English law and shall be subject to the exclusive jurisdiction of the English Courts.
